Kiama council contributes more than $300,000 each year to Kiama Tourism through a tourism levy of $217,000, a holiday parks contribution of $30,000 and a rental subsidy of $59,500.
Last month Kiama councillors voted to spend more than $8000 on a review of the board after concerns were raised with the council over apparent "ongoing problems".
In approving the decision, Kiama councillors requested the review seek input and comment from people who had served on the board over the past two years.
Kiama Tourism chairman Brian Longbottom said a motion regarding the independent review of governance requested by the council had been put forward and carried by the Kiama Tourism board, but the outcome was confidential.
Cr Petschler said the report to councillors on Tuesday night was a "confidential mayoral minute" because there was legal advice surrounding "a couple of issues".
