Crest Minerals, an ASX-listed junior resource company, is tapping the market for $10 million for a reverse takeover of juice and health food company LangTech.

The new entity will be called The Food Revolution Group and will use the cash to pay down its venture capital debt, funded via Mr Gore's Generation Investment Management. It will also help fund the company's expansion across Australia and into Asia.

LangTech has been making juice at its Mill Park factory in Melbourne's northern suburbs for the past 18 months. It produces the Golden Circle and Original Juice Black Label brands for Heinz and will release several of its own branded products in 2016.

LangTech chief executive Bill Nikolovski said the company prided itself on using 100 per cent of a piece of fruit – extracting and selling the oil, juice, pulp and peel of an orange.

Some juice manufacturers used only 40 per cent of a piece of fruit, dumping tthe rest, he said.

"That's why Al Gore's group came on board. We have 100 per cent yield and are sustainable," Mr Nikolovski said.

"We don't put any sugar in our products. We are 100 per cent natural and where possible we source all our ingredients from Australia."

The new entity is expected to hit the ASX's board in the first week of February and has already raised most of the $10 million, mainly from Chinese investors.

The Food Revolution Group hopes to leverage its relationships with its shareholders to accelerate its expansion in China.

Mr Nikolovski said he expected the first Chinese orders "any day", and while it presented a significant opportunity, the company wasn't turning its back on the Australian market.

A key part of the company's success in Asia was the desirability of its brands in its home market, he said.

"Australia is an important market for us because principally in China they want to eat the Western diet. They have travelled and tasted the product and it's what they want to eat."

Langtech has already developed its own brand, Juice Lab, in conjunction with Thirsty Brothers. It has launched it in Coles and Woolworths. Other products it has developed it hopes to launch in 2016 include infused fruit snacks, baby food and health supplements.

"We have a lot of functional ingredients that we put into our products such as chlorophyll and kale – things that you would get from your juice bar on Glenferrie Road," Mr Nikolovski said.

Healthier product

"There is the trend globally of health and wellbeing. Generally consumers want a healthier and more natural product, and that's what we are very much into."

The Mill Park site is running at 20 per cent capacity and is expected to start operating at full strength by the end of 2016.

The capital raising is expected to be priced at 10¢ a share.

Crest chairman Simon O'Loughlin said the company would divest its mineral exploration tenements in Western Australia to focus solely on food. He said this would give shareholders a more "certain return, given the current state of the Australian sharemarket with regard to junior exploration companies and continued low investor sentiment".

"There is greater likelihood of restoring shareholder value by progressing the proposed acquisition of LangTech than if the company was simply to remain a junior mineral explorer listed on the ASX," Mr O'Loughlin said.
